ENTRY TO THE CONTEST IS FREE

Open to legal residents of the 50 United States, District of Columbia, who are 18 years of age or older as of date of entry. Void Where Prohibited.

1. CONTEST DESCRIPTION:
NO PURCHASE NECESSARY. Purchase will NOT increase your chances of winning. ModernMom Contests (the "Contest") is a contest in which eligible ModernMom.com’s (“ModernMom” or “Sponsor”) Registered Users (“Users” or “Participants”) can submit answers or photos for consideration by Mom, Inc., dba ModernMom.com and the sponsor. (“ModernMom” or “Sponsor”). ModernMom will accept submissions from the Pacific Time and date noted on the Contest through the Pacific Time and date noted on the contest. ModernMom will select the number of winners denoted by the Contest. The winner will be determined based on ModernMom’s choice.
AT THE CONCLUSION OF THE CONTEST, SPONSOR WILL AWARD THE WINNER WITH A PRIZE.

2. ELIGIBILITY:
ENTYR IS FREE! The Contest is open to all Users of the Site that are legal residents of the 50 United States and District of Columbia, who are 18 years of age or older as of date of entry. Persons in any of the following categories are not eligible to submit entries or win a prize: Individuals employed by or otherwise associated with ModernMom its affiliates, subsidiaries, participating advertising and promotion agencies, technology and website development partner companies, prize suppliers, and immediate family members (defined as parents, children, siblings and spouse, and each of their respective spouses) and persons living in the households of each of these individuals, whether related or not. By entering, entrants agree to comply with these Official Rules. This Contest is subject to all applicable federal, state, local laws & regulations. Participants agree that these Official Rules are governed by the laws of the state of California. Void in Puerto Rico, U.S. Virgin Islands and U.S. military bases outside the U.S., and wherever else or otherwise restricted by law.

3. HOW TO ENTER:
Register on the ModernMom website at www.modernmom.com and follow the instructions on the Contest.
By participating, you agree to these rules and the judges' decisions, which shall be final and legally binding in all matters relating to this contest. All entries become Modern Mom’s property, with all rights to copy, edit, broadcast, publish and use, in whole or in part, any entry, including all content, ideas, copyrighted or copyrightable materials, trademarks and concepts, in any manner without further consideration. All entrants must be willing to have photos, names, quotes and other materials included on Modern Mom’s website and email newsletter. Modern Mom (which includes its affiliates and each of their agents, officers, employees, licensees and all parties associated with this contest) is not responsible for lost, destroyed, delayed, incomplete, undelivered, stolen, postage due, illegible or misdirected materials or other errors or problems of any kind which may limit or affect an entrant's ability to participate in the contest. All entries, including images and recordings, become the property of Modern Mom upon receipt and will not be acknowledged nor returned. Modern Mom reserves the right to substitute a prize of equal or greater value if a stated prize is unavailable for any reason. Modern Mom, in its sole discretion, may modify, cancel or rescind part or all of the contest without liability in the event of fraud, illness/ injury, production errors, virus, bugs, non-authorized human intervention or other causes beyond the control of Modern Mom corrupt or impair the administration, security, fairness or proper play of the contest. Modern Mom is not responsible for events beyond its control. Participants agree to use of name and likeness for publicity purposes without further compensation, where legal. By accepting prize, each winner releases Modern Mom of all liability. As a condition of entering this contest, you agree that: (1) any and all claims, judgments and awards are limited to actual out-of-pocket costs incurred in participating in this contest; and (2) you waive all rights to claim any other damages, including punitive, incidental and consequential damages and attorneys' fees. Contest is subject to all laws of the United States. You agree that any photo you post you have full legal rights to the photo.

By answering the question in the contest, or submitting a photo, ("Entry" or "Entries"), each Participant acknowledges their unconditional acceptance of these Official Rules and represents that the Entry or Entries submitted are the original work or works of participant. Sponsor assumes no responsibility for disputes between persons claiming ownership of the Entry or any of the Entries. Each Participant further represents that use thereof does not infringe third party rights (including, but not limited to those of any photographer, author, or designer) is legal to offer for sale, suitable for display, otherwise complies with the Sponsor’s Terms of Service and is not restricted by copyright, trademark or any other such right of any third party. Entry cannot defame, disparage or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person's personal or proprietary rights. Photos must be of the named individual’s only and may not contain any identifiable individuals. Participant has all permission to use the photo. Photo’s must be suitable for publication in a public forum (as determined by Sponsor in its sole discretion), may not contain nudity, profanity, or threats of physical violence, and may not reflect negatively on the Sponsor or its products. Entries not complying with all rules are subject to disqualification at Sponsor's sole discretion. All Entries become the exclusive property of Sponsor and will not be returned. With respect to the submitted Entry, entrant unconditionally assigns and transfers to Sponsor all rights, title, interest and claims in the Entry, including, without limitation, the copyright therein, and waives any moral rights in the Entry. Sponsor shall have right to post, use, broadcast, display, publicly perform, alter, edit, assign, or dispose of such Entries and the winning Items in whole or in part at its sole discretion in any and all media without limitation as to time or territory without approval of entrant. Winners will be required, as a condition of being awarded a prize, to grant the Sponsor the right to use his/her name, image, likeness and biographical materials, as well as the winning Entry, for advertising, publicity and promotion purposes including, without limitation, online announcements without additional compensation. Sponsor reserves the right to disqualify any Entry that it believes in its sole and unfettered discretion infringes upon or violates the rights of any third party or otherwise does not comply with these official rules.

Entries that in the sole judgment of Sponsor do not comply with the Sponsors Terms of Service will be disqualified. Entries that in the sole discretion of Sponsor are influenced by any improper action intended to alter the results are subject to disqualification. Sponsor reserves the right to disqualify any Entry that it believes in its sole and unfettered discretion (a) fails to comply with these Official Rules or (b) may violate the rights of any third party. Entries must comply with the Sponsor’s Terms of Service (which are incorporated herein as though set forth at length) to be eligible.

4. JUDGING
Winning is contingent upon eligibility and compliance with these Official Rules. Winner will be notified via the email address provided in the Entrant’s Site profile and by posting on the Sponsors Site after the Contest closing date. Winner is responsible for updating any changes to contact information to ensure accuracy. Sponsor accepts no responsibility for the failure of winner to receive notice.
Winners shall have 72 hours from transmittal of email notice by Sponsor to acknowledge the notice. Acknowledgement shall take the form of the Winner signing and returning an Affidavit of Eligibility together with a Publicity/Liability Release (except where prohibited by law).
In the event that any Winner notification is undeliverable or if any Winner fails to complete the Acknowledgement or is otherwise determined by Sponsor to be ineligible the prize may be forfeited. In the event that any prize is forfeited the Finalist with the next highest number of Votes will be selected as the Winner.

A list of all winners will be available on the Sponsors’s website at www.modernmom.com upon the completion of the selection process.

5. PRIZES:
One (1) Prize shall be awarded to the Winner.
All Prizes will be awarded, provided more than enough eligible entries have been received.
All Prizes will be awarded in the name of the Winner as identified in the Sponsor’s registration information corresponding to the User displaying the winning photo. All prizes shall be awarded only upon receipt of the Winning Photo by Sponsor. Failure to deliver the item to Sponsor is grounds for disqualification of the entry. SELLING A PHOTO PRIOR TO THE COMPLETION OF THE CONTEST DISQUALIFIES THE ENTRY FROM THE CONTEST. Winner is solely responsible for the delivery of the winning photo to Sponsor and assumes any and all risk and expense associated therewith. All taxes on prizes won and other expenses related to accepting the prize and delivering the winning Item to Sponsor are the sole responsibility of the Winner. Winners will be notified by email at the registered email address corresponding to the Winner’s profile on the Sponsor’s Site. Potential Winners will be required to complete and return within 5 days an Affidavit of Eligibility and Release of Liability and (where permitted) a Publicity Release and IRS Tax Form W-9. Failure to provide these documents may result in disqualification and an alternate Winner being selected. Upon prize forfeiture, no compensation will be given. By accepting a prize, winner grants permission to use his/her name, city, state, prize information, descriptions, photograph, voice, likeness, statements, and biographical information without limitation for advertising and publicity purposes on Sponsor's website and other promotional materials, without further compensation, except where prohibited by law. Decisions of the Sponsor and judges are final in all respects of the Contest. Winners must allow up to 6 weeks for delivery of prize.

6. WARRANTY AND INDEMNIFICATION:
By entering, entrants hereby release and agree to hold harmless the Sponsor, its parents, affiliates, subsidiaries, participating advertising and promotion agencies, technology and website development partner companies and the employees officers and directors of these companies (collectively "Releasees") from and against any and all rights, demands, claims, causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any damage, injury, loss whether direct, compensatory, incidental or consequential, to person including death and property, arising in whole or in part, directly or indirectly, from their acceptance of the Prize, their entry in the Contest or their participation in any prize related activity, or any travel related to the Prize or any prize related activity except for personal injury or death caused by negligence. Entrants irrevocably assign to Sponsor with full title guarantee all intellectual property and other rights, which they now have or may in the future have to the Entries, or any elements thereof, including without limitation, the copyright therein, the right to make derivative works, copies and to use for any purpose whatsoever in any media or format now or hereafter known, royalty-free worldwide perpetuity. Sponsor shall have the right to assign or dispose of such Entries however it sees fit without approval of the Entrant. Sponsor is under no obligation to correspond about Entries and Entries will not be acknowledged or returned. By entering, entrants grant permission for their descriptions, likeness, statements, entry and biographical information to be used without limitation or further compensation, for advertising and publicity purposes and online except where prohibited by law. Releasees are not responsible for any lost, stolen or otherwise unaccounted for entries, and or misdirected, illegible, incomplete, delayed or damaged entries. Releasees are not responsible for any human, printing, typographical, electronic, Internet, email, website, software, programming, or other such error or any error in the contest official rules and other materials posted on the website or in the administration of the Contest. Releasees are for any failure of the Contest to proceed as planned as the result of any infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Releasees which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest. Sponsor has the sole right to cancel or suspend the Contest or any portion thereof for any reason whatsoever. In such cases, notice to this effect will be posted on the website and prizes will be awarded from all eligible entries received prior to cancellation.

7. Winners List
A list of winners may be obtained by sending a self addressed stamped envelope to Mom, Inc., dba ModernMom.com Contest Winners P.O. Box #1239; Pacific Palisades, California 90272-1239.
